    We seek to partner with owner-managers who value help and support in pursuing a successful growth strategy for their businesses. We buy and invest in small and medium sized businesses from entrepreneurs and founders seeking to transition out of their current role. We raise capital from our capital partners to acquire or invest in a business. We focus on helping the following:

     

    • Ownership (the business owners or investors belong to an ethnic minority group or are women).
    • Customer base (the business serves primarily minority customers).
    • Geography (the business is located in the inner city or in low-to-moderate income (LMI) neighborhoods)

     

    TYPICAL INVESTMENT PARTNERSHIP SCENARIOS

    We desire to partner with owner-managers who are committed to the future of their business yet have the need to achieve liquidity for themselves, their partners or their family members. Below are examples of typical investment scenarios

    • Generational Transition: A senior family member seeks to achieve personal liquidity and facilitate estate planning while transitioning leadership (including control of the Board of Directors) and a meaningful economic opportunity to the next generation.
    • Cash Out Inactive Shareholder: Management shareholders seek to provide inactive or retiring shareholders with liquidity while maintaining control of their Board of Directors.
    • Asset Diversification: Shareholder remains passionate about the business and believes strongly in its future; however, wants to diversify their net worth while continuing to lead the business, retaining control and a large ownership position.
    • Diversification with a Shift in Responsibilities: Shareholder remains passionate about the business but desires a change in personal responsibilities to dedicate time to other interests. He/she wants to diversify their net worth and retain a large equity stake and control.
  • Our Criteria

    Our primary focus is on owner-managed and family-controlled businesses serving emerging domestic markets (EDM). Our investment activity is concentrated around EDM businesses in consumer products, business services, light manufacturing and distribution, healthcare, and specialty packaging. We invest and acquire based on our assessment of both a company's fundamental strengths and its growth potential. We are actively seeking new partnership investment opportunities that meet our fundamental criteria:

     

    • Owner-managed or family-controlled businesses in EDM headquartered in North America 
    • Management team with desire to collaborate on creating value 
    • EBITDA of $1 million or greater, enterprise values of $3 million - 50 million 
    • Strong management team with plan for continued growth and desire for meaningful ownership stake
    • History of stable cash flows 
    • Defensible market position

    Michael Fernandez

    Founder

    The firm was founded by Michael Fernandez to partner and invest in minority owned businesses in the US. Born in NYC, he is the son of hard-working Latino immigrant parents and the first to attend college. He's advised and coached over 100 entrepreneurs and business owners on how to overcome many different challenges including how to build team culture, improve customer engagement, and prepare a business for sale. He has consulted for major market leaders including SAP, Pepsi, JP Morgan, and Cisco.

     

    Michael co-founded Little Kids Rock (www.littlekidsrock.org), a national non-profit restoring and revitalizing music education in disadvantaged public schools and served over 500,000 kids. He serves on the board of Tides.org and is the chair of the Tides Center Board. Tides partners with philanthropists and corporations to invest in social entrepreneurs. In 2017, Tides invested over $225 million accelerating social good in over 110 countries.

     

    He served in the US Army and was promoted to the rank of Captain after graduating from the JFK Special Warfare Center and while serving in a special operations unit; US Army Reserves. He was the #1 ranked Distinguished Military Graduate of his ROTC class and ranked #1 in his Officer Basic Course. Michael served on the board of NCIRE, the leading non-profit addressing Veteran's health. He is a Marshall Memorial Fellow, a White House Fellowship-National Finalist, and is recognized as "One of the most influential Bay Area Latinos" by the Hispanic Chamber of Commerce. His hobbies include meditation, mixed-martial arts (black belt-instructor), yoga, rock climbing, and painting.
