3 Kings of Business
Participants in this seminar discuss the art of the 3 Kings (the entrepreneur, the deal maker, and the investor) based on the idea that all opportunities must be evaluated through the lens of each of these arts. We will take an insider view and explore innovative entrepreneurial leadership, value investing, and deal structuring techniques. We also offer a modules on negotiation, fund economics, and transaction structures of early stage venture capital, private equity, mergers & acquisitions, and LBOs. This seminar is for the entrepreneur that is seriously considering raising early stage capital from the angel and venture capital community. We will discuss how early stage investors think, why traditional valuation methods don’t work for early stage companies and what to do about it, how to determine the amount to raise, what could the capital be used for, and how to negotiate term sheets.
M & A with OPM (Other people’s money)
This seminar is for the entrepreneurial manager or investor that is interested in buying an established business with OPM (other peoples money). We’ll discuss the approaches taught at Harvard, Wharton, and Stanford on how to raise a “search fund,” a fund raised from investors to finance the acquisition search and purchase of a business, and the “fundless sponsor” approach, a group that raises funds from other private equity groups when a deal is in place. We’ll discuss practical techniques for deal sourcing businesses generating $1 million in EBITDA or more, how to work with business brokers and investment banks so they take you seriously and show you the best opportunities. We’ll discuss the criteria for a good acquisition, where to get capital, how to approach capital partners, and how to structure the negotiations with both the target company and capital providers.
